GENERAL PROVISIONS

1.1. This User Agreement (hereinafter referred to as the "Agreement") applies to the website www.balancepro.ae and its subdomains owned by Balance Pro LLC FZ, a company registered in the UAE at: The Meydan Hotel, Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E, operating under license No. 2314126.01 issued by Meydan Free Zone (hereinafter referred to as the "Company").

1.2. The Company’s website (hereinafter referred to as the "Website") is the property of Balance Pro LLC.

1.3. This Agreement governs the relationship between the Website Administration (hereinafter referred to as the "Website Administration") and the User of this Website.

1.4. The Website Administration reserves the right to change, add, or delete clauses of this Agreement at any time without notifying the User.

1.5. Continued use of the Website by the User means acceptance of the Agreement and changes made to this Agreement.

1.6. The User is personally responsible for reviewing this Agreement for any changes.

DEFINITIONS AND TERMS

2.1. For the purposes of this Agreement, the following terms shall have the following meanings:

· 2.1.1. "www.balancepro.ae" – the Company's Website located at the domain www.balancepro.ae, operating via the Internet and its associated services.

· 2.1.2. Company Website – a site containing information about the Company, its services, informational products, events, news, and allowing the User to familiarize themselves with the Company’s activities and to contact the Company regarding its services.

· 2.1.3. Website Administration – authorized employees responsible for managing the Website on behalf of Balance Pro LLC.

· 2.1.4. User of the Company's Website (hereinafter - the "User") – a person who has access to the Website via the Internet and uses the Website.

· 2.1.5. Content of the Company’s Website (hereinafter – "Content") – protected intellectual property, including literary works, their titles, forewords, annotations, articles, illustrations, covers, musical works with or without lyrics, graphics, texts, photographs, derivative, composite and other works, user interfaces, visual interfaces, trademarks, logos, software, databases, as well as design, structure, selection, coordination, overall style, and arrangement of such Content included on the Website, and other intellectual property objects, together and/or separately, contained on the Company’s Website.

SUBJECT OF THE AGREEMENT

3.1. The subject of this Agreement is to provide the User with access to the services and information available on the Company's Website.

· 3.1.1. The Website provides the User with the following types of services (features):

· Access to posted electronic content free of charge, with the right to view content;

· Access to search and navigation tools of the Website;

· Ability for the User to post messages, comments, request a call back;

· Access to information about the Company and its services free of charge;

· Other types of services available on the Website pages.

3.1.2. This Agreement applies to all existing (currently functioning) services of the Website, as well as any modifications and additional services that may appear in the future.

3.2. Access to the Company's Website is provided free of charge.

3.3. This Agreement is a public offer. By accessing the Website, the User is considered to have joined this Agreement.

3.4. The use of materials and services of the Website is governed by the laws of the Emirate of Dubai and applicable federal laws of the United Arab Emirates. The courts of the Emirate of Dubai in the United Arab Emirates have exclusive jurisdiction over any disputes arising from the use of the Company’s Website.

RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. The Website Administration has the right to:

· 4.1.1. Change the rules for using the Website, as well as change the content of the Website. Changes take effect from the moment the new version of the Agreement is published on the Website.

· 4.1.2. Restrict access to the Website in case the User violates the terms of this Agreement.

4.2. The User has the right to:

· 4.2.1. Access the Website after fulfilling the requirements for using the Website.

· 4.2.2. Use all services and information available on the Website, as well as purchase any services listed on the Website.

· 4.2.3. Ask any questions related to the Company's services using the Website's contact information in the “request a call” and “contacts” sections.

· 4.2.4. Use the Website exclusively for purposes and in the manner provided for by the Agreement and not prohibited by the legislation of the Emirate of Dubai and the United Arab Emirates.

4.3. The User undertakes to:

· 4.3.1. Provide, upon request, additional information directly related to the services provided by the Website.

· 4.3.2. Respect the proprietary and non-proprietary rights of the Company to the posted information when using the Website.

· 4.3.3. Not take actions that may be regarded as violating the normal operation of the Website.

· 4.3.4. Not distribute, using the Website, any confidential and protected information about individuals or legal entities, safeguarded by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.

· 4.3.5. Avoid any actions that could compromise the confidentiality protected by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.

· 4.3.6. Not use the Website to distribute advertising information, except with the consent of the Website Administration.

· 4.3.7. Not use the Company’s Website services for the purpose of:

· Uploading content that is illegal, violates any third-party rights, promotes violence, cruelty, hatred and/or discrimination based on race, nationality, gender, religion, or social background; contains false information and/or insults directed at persons, organizations, or authorities.

· Encouraging unlawful actions, as well as assisting persons whose actions are aimed at violating the restrictions and prohibitions in effect in the territory of the United Arab Emirates.

· Violating the rights of minors and/or causing them harm in any form.

· Misrepresenting oneself as another person or a representative of an organization or community without sufficient rights, including as employees of this company.

· Misleading the Company and other users about the information and services posted on the Website.

· Inappropriately comparing the Company, as well as forming a negative attitude toward the Company or other users of the Website (regardless of whether they use certain services of the Company), or condemning such persons.

4.3.8. Comply with all applicable international sanctions (including EU, HKMA, UAECB, RBI, UKHMT, UN, and US), and in the event of any violation, potential violation, or attempt to circumvent, the User must notify the Website Administration.

4.4. The User is prohibited from:

· 4.4.1. Using any devices, programs, procedures, algorithms, methods, automatic devices or equivalent manual processes to access, acquire, copy, or track the content of the Company’s Website;

· 4.4.2. Disrupting the proper functioning of the Website;

· 4.4.3. Bypassing the Website’s navigation structure to obtain or attempt to obtain any information, documents, or materials by any means that have not been specifically provided by the Website’s services;

· 4.4.4. Unauthorized access to the Website’s functions, any other systems or networks related to the Website, or to any services offered on the Website;

· 4.4.4. Breaching the security or authentication system on the Website or any network related to the Website;

· 4.4.5. Reverse lookup, tracking, or attempting to track any information about any other Website User;

· 4.4.6. Using the Website and its Content for any purposes prohibited by the laws of the United Arab Emirates, as well as inciting any illegal activity or other activity that infringes the rights of the Company or others.

USE OF THE COMPANY'S WEBSITE

5.1. The Website and its Content are owned and managed by the Website Administration.

5.2. The Website’s Content may not be copied, published, reproduced, transmitted, or distributed in any manner, or posted on the Internet without the prior written consent of the Website Administration.

5.3. The Website’s Content may be downloaded, printed, or copied only for personal, non-commercial use. Any unauthorized use is prohibited.

5.4. The Website’s Content is protected by trademark laws, other intellectual property rights, and unfair competition laws.

5.5. This Agreement extends to all additional terms and conditions for the purchase of goods and provision of services offered on the Website.

5.6. Information posted on the Website should not be interpreted as amending this Agreement.

5.7. The Website Administration has the right at any time and without notice to the User to make changes to the list of posted information and services offered on the Website, and/or to the prices for such services.

5.8. The User may not use the Website and Company’s services to:

· 5.8.1. Engage in business with Balance Pro LLC if the User’s business or related persons are, directly or indirectly, associated with any natural or legal person currently included in any sanctions lists or may be included due to violations of current regulations.

Balance Pro LLC reserves the right not to enter into relationships, to review relationships, or to terminate relationships with any person engaged in any business activity that is or may be found to be in violation of regulations, including but not limited to anti-money laundering and anti-terrorist financing regulations.

LIABILITY

6.1. Any losses that the User may incur as a result of intentional or careless violation of any provision of this Agreement, as well as from unauthorized access to another User’s communications, will not be compensated by the Website Administration.

6.2. The Website Administration is not responsible for:

· 6.2.1. Delays or failures in the process of using the Website arising from force majeure or due to malfunctions in telecommunications, computer, electrical, or other related systems;

· 6.2.2. Actions of payment systems, banks, and for delays related to their operation;

· 6.2.3. Proper functioning of the Website if the User does not have the required technical means to use it, nor is it obliged to provide such means to Users;

· 6.2.4. The User’s navigation to third-party websites. Upon visiting such websites, the User must read the terms of use before accessing them;

· 6.2.5. We provide this website "as is" and "as available" without any warranties or conditions, explicit, implied, or otherwise.

VIOLATION OF THE USER AGREEMENT

7.1. The Website Administration has the right to disclose any information collected about the User if such disclosure is necessary in connection with an investigation or complaint regarding the improper use of the Website or to identify the User who may be violating or interfering with the rights of the Website Administration or other Website Users.

7.2. The Website Administration has the right to disclose any information about the User it deems necessary to comply with current legislation or court decisions, to ensure compliance with the terms of this Agreement, or to protect the rights or safety of Balance Pro LLC and Users.

7.3. The Website Administration has the right to disclose information about the User if UAE law requires or permits such disclosure.

7.4. The Website Administration may, without prior notice to the User, terminate and/or block access to the Website if the User violates this Agreement or the terms set forth in other documents regarding use of the Website, or in the event of Website termination or technical issues.

7.5. The Website Administration is not responsible to the User or third parties for terminating access to the Website in case of violation of any provision of this Agreement or other document containing Website usage terms.

ADDITIONAL TERMS

8.1. The Website Administration does not accept counter-offers from the User regarding changes to this User Agreement.

8.2. User feedback and comments posted on the Website or in the feedback form are not confidential and may be used by the Website Administration without restriction.

8.3. If any provision (or part thereof) of these Terms is found to be illegal, invalid, or unenforceable for any reason, that provision will be deemed severable from these Terms and does not affect the validity and enforceability of the remaining provisions.

8.4. The Company reserves the right to modify this Agreement at any time without prior notice. Continuing to access or use the Company’s Website after such modifications indicates the User’s agreement to the modified Agreement.
